企業のコンプライアンス実践 中央青山監査法人の法的処分に伴って、同監査法人との契約を解除する動きが広がっています。同種のスキャンダルがアメリカで起きたときには監査法人が１社解散に追い込まれました。企業は社会の公器といわれ、その活動は遵法精神に則ったものでなければなりません。企業のガバナンスは経営の執行チームが取締役会によって監視され、内部統制機構が機能しているかどうかを監査法人がチェックする、という体制によって維持されます。日本では経営を執行するチームと監視するチームが取締役会で明確に分かれていませんでした。多くの企業で不祥事が見つかり、この体制を見直した結果、執行とその監視を別の役割として分けることは株主の利益を守るために必要である、との資本主義の基本がようやく実行されるようになりました。このブログではこれまでに株式投資についての考え方を述べてきました。株式投資は株主が株式の発行会社の事業に興味を持ち、事業が成功しそうだとおもって株を買います。経営者にはその期待に沿って経営を執行し、事業を成功させる責任があるといえるでしょう。執行状況のチェックが的確に行われなければ株主は経営の責任を追及することができません。そこで取締役、特に株主の代表である独立社外取締役が登場するのです。監査法人には取締役会がその責任を果たしているかを経営の監査によって２重にチェックすることが求められます。今回の処分はこのチェックが的確に行われていなかったことが発覚したからです。今回の処分は監査法人に対するものですが、事件の中身を見ると、根はもっと深いところにありそうです。 日本的経営といわれた和の経営は問題が発生しても内輪で処分して事を済ませようとするムラ社会的慣行を生みました。資本主義の下での経営にはもっと透明な情報開示が求められます。従来の慣行になれた経営者は情報開示を必要悪と捕らえ、できるだけ少ない開示で済ませようとするきらいがあるようです。グローバルな事業を営むためには世界の基準にのっとった経営が必要です。グローバルな企業の株主は世界中にいるので、日本の慣行で経営したのでは株主満足を得ることはできません。今日コンプライアンスといわれるのは世界基準に合ったガバナンス体制です。世界基準によるコンプライアンスを実践しなければ監査基準に満たないとの理由で株主の支援は得られません。また、株主の利益を優先しなければ資金が調達できないという事態も起こりえます。株主から資金を得るために経営状況を定期的に報告することは当然のことです。ベンチャー起業家が資金を集めさえすれば後は株主を蚊帳の外におく、ということがよくありますが、それでは次回の調達に差し支える、ということを知っておくべきです。 村上ファンドがマスコミによって悪者扱いされていますが、ファンドを運営する上では当然のことをしているまでであり、これに異を唱えるのは株主軽視といわれかねません。もとより、企業の乗っ取りを目的とした株式取得は褒められたことではありませんが、これまでに見る限り村上ファンドが企業乗っ取りを企てたという実態はないと思われます。未公開企業がベンチャーキャピタルから資金を調達する場合は、経営の独自性を維持するために資本政策をしっかりと立てておかないと、特定の株主に経営権をとられる事態を招きかねません。しかし、株主軽視の結果、経営批判が起こりえることを経営者は常に意識しているべきであり、それこそがコンプライアンスの根源といえるでしょう。 用語解説独立社外取締役
