傍（岡）目八目 創業をもくろむ起業家は目標が明確で一途な場合が多く、ほかの事に目が行き届かないことが多い。エンジェルの役割はそのような一点集中型の起業家にメンターとして多角的にアドバイスすることである。当事者と傍観者との間には囲碁でいえば８目の差があるということであろう。その傍目が起業家にとって役立つかどうかは起業家の資質にもよる。囲碁でも同じかもしれないが、大きなお世話だ、と自分の思い通りに進める起業家もいれば、なるほど、と思い返し、よりよい一手を考える人もいる。前者が思い込み型で後者は他人の意見を入れることの出来る包容型と決め付けることも出来るが、別の見方をすると前者は信念の人、後者は右顧左眄型ということもできる。そのいずれの見方が妥当であるかは一概に決められることではなく、ケースバイケースであろう。一般的にはCTO（技術最高責任者）は信念に基づいて集中しがちで、時に思い込み型と見えることも多い。決して右顧左眄することはない。しかし、経営には柔軟性が必要で、一点集中型のCTOが行き過ぎないようエンジェルが傍について傍目で気づいたことを耳打ちし、方向修正をすることが必要である。 企業の取締役会に報酬、監査、指名委員会を設置するいわゆる委員会設置会社ではその委員は外部の取締役が就任することが原則である。アメリカではこれが義務付けられる。外部の取締役は傍目から見た見解を提供することが役回りで、決して事業の中身に精通している必要はない。もとより業界、技術に豊富な知見を持っているとより適切な見方が出来ることはいうまでもない。しかし、専門的には素人でも経営の重点が誤っていることには気づく場合が多い。これは傍目八目であるといえよう。専門知識があると却って本筋を見失う可能性がある。 アメリカのベンチャー企業の外部取締役（Independent Director）の経験からいうと、IPOを目指すベンチャーは創業後ほどなく（２年以内に）委員会を設置する。外部取締役にはエンジェルまたはVC代表が就任するのが普通である。毎月か隔月に取締役会を開くので外部取締役にも経営情報が開示され、社内の情報は正確に伝えられる。それによって社外取締役は正しい経営判断のもとに委員会の運営が出来る。報酬委員会は経営陣の直属の部下にヒアリングを行い、上下の意思疎通がうまく行っているか、部下の動機付けができているか、までチェックするようである。監査委員会は資金の使途、その有効性、SOXコンプライアンス、予実のチェックなど細部にわたって報告を求め、内部統制が行き届いているかを監査しなければならない。それらの度合いは創業期から株式公開後までの段階によって変化するが、未公開の段階でも厳重なガバナンスのチェックが必要、との見地に立っている。 |
